AB 361 (Huffman), the Benefit Corporation Bill, has passed the State Assembly and Senate and is due to arrive on the governor’s desk by Friday, August 26. Governor Brown has 12 days to sign or veto it – and he needs to hear from the green business community that we support this effort to help socially responsible businesses protect their missions as they grow.

RE: AB 361: Benefit Corporation — SUPPORT

Dear Mr. Putler,

As the owner of a green business, I strongly support AB 361 and we urge the Governor to sign it.

I believe that leaders of and investors in sustainability-oriented businesses should be able to run their businesses the way they see fit: to create a broad social benefit that’s beyond simply maximizing profit.  Unfortunately, current state law impedes them by defining the fiduciary duty of corporate officers and directors narrowly, making it difficult for such mission-based businesses to make decisions that satisfy investors, employees, customers and the community. These businesses need AB 361.

Without increasing regulation or affecting the state budget, the Benefit Corporation Bill will:

  • Remove legal impediments that prevent businesses and investors from using sustainability and social innovation as a competitive advantage, particularly in liquidity scenarios
  • Accelerate development of the new economy being forged by businesses that have higher standards of corporate purpose, accountability, and transparency
  • Create a platform for innovative entrepreneurs to build great companies that generate high-quality jobs and economic development for communities

The legal infrastructure this bill creates is a key step in California taking its natural leadership role in this area.
