Replace or cover up sheetrock?

I have had two different carpenters tell two different things when asked if I needed to replace my sheetrock in the living? One said yes and the other said to put sheetrock over the sheetrock there. How do I know what to do? My husband has no clue either. The sheetrock there now has abig whole, digs, and stains in various places. Thank You- Thank You- Thank You Presently at a stand still.I
